นิทานของบริษัทหลักทรัพย์




กาลครั้งหนึ่งนานมาแล้ว มีกิจการซื้อขายหุ้นเกิดขึ้น

จำความได้ว่ามีการจัดเก็บค่านายหน้าซื้อขายหุ้น

(ค่าคอมมิชชัน) ที่ 0.50% ต่อหนึ่งรายการ




ในสมัยนั้นเหล่าบริษัทนายหน้าซื้อขายหลักทรัพย์ (โบรกเกอร์)

ต้องมีใบอนุญาต และซื้อที่นั่ง (Seat) จากตลาดหลักทรัพย์แห่งประเทศไทย(ตลท.)

...ว่ากันว่าความเป็นสมาชิกของ ตลท. ตอนหลังมีการประมูล

สูงถึง 300 ล้านบาทต่อใบ และมีจำนวนโบรกเกอร์สูงถึง 50ราย


ครั้งนั้นการซื้อขายหุ้นยังเป็นแบบมือ (Manual)

มีกระดานไว้ให้เคาะ ตกลงซื้อขาย ยังไม่มีระบบคอมพิวเตอร์

จำนวนหุ้นก็มีอยู่ราว 100 กว่าตัว และหมวดหมู่ก็มั่วๆ กันอยู่

ที่เห็นมีหมวดเด่นๆ คือ ธนาคารเงินทุนหลักทรัพย์ ส่วนก่อสร้าง

กลุ่มที่ดินยังไม่มี และการซื้อขายหุ้นแค่ภาคเช้า


หลังการลดค่าเงินบาท 14.8% ในปี 2527 เริ่มต้นเศรษฐกิจเติบโต

ของไทยแบบส่งออกนำ ส่งผลให้ผลดำเนินงานของบริษัทจดทะเบียน (บจ.)

เติบโตอย่างก้าวกระโดด ดัชนีตลาดหุ้น (Set) ขึ้นจุดสูงสุดในปี 2533

ที่ 1,143.78 จุด และก็เกิดวิกฤตตลาดหุ้นไทยครั้งที่ 1 เนื่องจากอิรักบุกคูเวต

ดัชนีตกต่ำสุดที่ 536.74 จุด ในปีเดียวกัน พื้นฐาน Set ยังคงแกร่ง

บจ.ยังคงมีการขยายงานมหาศาลลงทุนเกินขนาด ส่งผลอัตราดอกเบี้ย

เงินฝากสูงถึงระดับ 14-18% ต่อปี ในปลายปี 2536 เงินทุนต่างชาติไหลเข้า

ผลักดัชนี Set ขึ้นสูงสุดตลอดกาลที่ 1,789.16 จุดในวันทำการแรกของปี 2537




ในปี 2540 เกิดวิกฤตการเงิน ค่าเงินบาทลอยตัว



ในวันที่ 2 ก.ค. 2540 และในเดือนก.ย.ปี 2551

เกิดวิกฤตการเงินสหรัฐอเมริกา ส่งผลต่อตลาดหุ้นทั่วโลก

ถือเป็นวิกฤตตลาดหุ้นไทยครั้งที่ 3


การเปิดเสรีค่าคอมมิชชั่นครั้งแรกในปี 2544

จะเห็นได้ว่าในปี 2543 นั้นยังจัดเก็บค่าคอมมิชชันที่ 0.50%

ไม่ทราบว่าไปตกลงกันท่าไหน จึงเปิดเสรีในวันที่

1 ต.ค. 2544–13 ม.ค. 2545 โดยคิดค่าคอมมิชชันเฉลี่ยอยู่ที่ 0.14%

ปรากฏโบรกเกอร์ขาดทุนกันทั่วหน้า ในต้นปี 2545 จึงมาคุยกันใหม่

ตกลงใช้ค่าคอมมิชชันที่ 0.25% มาจนทุกวันนี้


การทำเน็ตเซตเทิลเมนต์ (Net Settlement) ก่อนหน้านั้น

การซื้อขายหุ้นต้องชำระเงินภายในวันที่ 3 คือ T+3

และต้องมีการชำระก่อนถึงจะรับเงินได้ ในช่วงก่อนเกิดวิกฤต

โบรกเกอร์มีการแข่งขันสูง มีบางรายอนุญาตให้ลูกค้า

ชำระส่วนต่างของมูลค่าซื้อขายแต่ละวัน (เน็ต)

ซึ่งขณะนั้นผิดกฎหมายอยู่ เพื่อความเป็นธรรม จึงมีการ

ตกลงให้ทำ Net Settlement ได้ จนถึงทุกวันนี้


Remisier (รีไมซิเออร์) หรือนายหน้าแบ่งรายได้

หลังวิกฤตการเงินปี 2540 เหล่าโบรกเกอร์ไทยต้องการลดต้นทุน

และผลักภาระความเสี่ยงออกจากตัว จึงยืมเอาหลักการ

ที่ใช้กันอยู่ในมาเลเซียและสิงคโปร์คือหลักการมาร์เก็ตติง (ตัวแทน)

แบบแบ่งกำไร เปลี่ยนสถานะมาร์เก็ตติงจากลูกจ้างเป็นผู้ประกอบกิจการร่วม

ซึ่งมีชื่อเรียกเพราะๆ ว่า รีไมซิเออร์


ณ 6 เดือนแรกของปี 2552 รวม 11 โบรกเกอร์มีส่วนแบ่งตลาดที่ 42.53%

มีค่าคอมมิชชันเฉลี่ยอยู่ที่ 0.20% โดย บล.ยูโอบี เคย์เฮียน (ประเทศไทย)

หรือ UOBKH มีค่าคอมมิชชันเฉลี่ยสูงสุดที่ 0.24% และ บล.บีฟิท (BSEC)

มีค่านายหน้าต่ำสุดที่ 0.12%



ขณะเดียวกัน รวม 11 โบรกเกอร์มีโครงสร้างรายได้ถึง 60.1%

มาจากค่านายหน้า และที่เหลืออีก 39.9% มาจากค่าธรรมเนียม

ซื้อขายหุ้น ดอกเบี้ย หรืออื่นๆ


ในปี 2553-2554 จะเปิดเสรีแบบขั้นบันได และในปี 2555

จะเปิดเสรีเต็มที่ มาร์เก็ตติงแบบแบ่งกำไร จะมีเวลาปรับตัว 2 ปี

ส่วนใบอนุญาตกิจการหลักทรัพย์ก็จะถูกลงด้วย จากเดิม



ที่ขายกัน 50-100 ล้านบาทต่อใบ จะเหลือเพียงใบละ 20 ล้านบาท

แต่ ยังมีอุปสรรคของการเข้าสู่กิจการ (Entry Barrier)

เพราะมีการกำหนดทุนขั้นต่ำไว้ที่ 500 ล้านบาท


เอาความเสี่ยงคืนไป เอาเงินเดือนของเราคืนมา ในปี 2555

เมื่อมีการเปิดเสรีค่าคอมมิชชันแล้ว จะเกิด


(1) เชื่อว่ารูปแบบมาร์เก็ตติงแบบแบ่งกำไรน่าจะยังมีอยู่

แต่จะเป็นระดับโบรกเกอร์ต่อลูกค้าโดยตรง ส่วนวิธีการนั้น

แล้วแต่พิจารณา


(2) มาร์เก็ตติง โดยทั่วไปจะเปลี่ยนสถานะไปเป็นลูกจ้างบริษัท

ทำให้ความเสี่ยงของต้นทุนกลับไปอยู่กับโบรกเกอร์


(3) อาจยังมีมาร์เก็ตติงแบบมีเงินเดือนตายตัว แบ่งกำไรแบบขั้นบันได

ไม่ว่าจะเกิดในรูปแบบใดสำหรับมาร์เก็ตติงในอนาคต


ความเสี่ยงด้านการแบกรับต้นทุนนั้น จะกลับคืนสู่โบรกเกอร์

รายได้จะลดลงในตอนต้น และจะดีดขึ้นในตอนหลัง


หลังลดค่าคอมมิชชันเหลือ 0.25% ในปี 2545

มูลค่าซื้อขายอยู่ที่ 8,390 ล้านบาท/วัน และเพิ่มเป็น

1.89 หมื่นล้านบาท ในปี 2546 เช่นนี้ เราอาจคาดหวังได้ว่า


ในปี 2556 หลังการเปิดเสรีเต็มที่แล้ว มูลค่าซื้อขายต่อวัน

จะเพิ่มขึ้นอย่างมหาศาลทีเดียว



คาดหวังแบบหัวแม่โป้ง (Rule of Thumb) ตอนค่าคอมมิชชัน

อยู่ที่ 0.50% เปิดเสรีเหลือ 0.14% หรือลดลงราว 70%

หากนำ 0.25% ลบออกสัก 70% จะเหลือค่าคอมมิชชันที่ 0.075%


เราเชื่อว่าหลังเปิดเสรีในปี 2555 ค่าคอมมิชชันจะลดลงสู่ 0.075%

แต่จะไม่เกินกว่า 0.14% เฉลี่ยค่าคอมมิชชันจะอยู่ที่ 0.10%

หากอิงตัวเลขนี้ อาจอนุมานได้ว่ามูลค่าซื้อขายในปี 2556 เป็นต้นไป

อาจเพิ่มกว่าตอนนี้ที่ 1.6 หมื่นล้านบาท/วันกว่าเท่าตัว หรืออาจเห็น

3.2 หมื่นล้านบาทนั้นเป็นเรื่องปกติได้ และหากเป็นช่วงเวลาดี

อาจจะสูงถึง 4-5 หมื่นล้านบาท



โครงสร้างรายได้ ค่านายหน้าของโบรกเกอร์ จะลดลง

ในปี 2555 เป็นต้นไป รายได้จะเพิ่มขึ้นใน 2 ส่วน คือ

จะเห็นโบรกเกอร์ซื้อขายหุ้นมากขึ้น (พอร์ตเทรด)

และจะเห็นโบรกเกอร์ปล่อยสินเชื่อเพื่อซื้อมากขึ้น (มาร์จินโลน)



ด้านบุคลากรจะเปลี่ยนแปลง ดังนี้

(1) มาร์เก็ตติงจะกลับมาเป็นลูกจ้างกินเงินเดือนมากขึ้น

แม้อาจยังมีแบบแบ่งกำไรหลงเหลือบ้าง

(2) มาร์เก็ตติงและฝ่ายวิเคราะห์จะรักกันมากขึ้น

เพราะทั้งคู่ต่างก็เป็นต้นทุนหมดแล้ว

(3) ฝ่ายควบคุมความเสี่ยงจะทำงานหนักขึ้น เพราะโบรกเกอร์

จะเสี่ยงมากขึ้นโดยเพราะปล่อยมาร์จินเพิ่ม

(4) อาจเกิดฝ่ายวิเคราะห์สินเชื่อเพื่อให้มาร์จิน

(5) ผู้บริหารเป็นมืออาชีพมากขึ้น

(6) บุคลากรที่ปรับตัวไม่ได้จะ ถูกตลาดขับออกไป

และจะเกิดเลือดใหม่ขึ้น


เมื่อเปิดเสรีแล้ว จะได้ยินคำว่า มาตรฐานของมืออาชีพ

และจรรยาบรรณมากขึ้น



หลังปี 2555 จะเห็นผลกำไรของโบรกเกอร์ กลับมาเติบโต

ได้อย่างก้าวกระโดด ส่วนความเสี่ยงในการทำกำไร

ของเหล่าโบรกเกอร์นั้น ไม่ได้อยู่ที่ว่าค่านายหน้าเปิดเสรี

แต่อยู่ว่าเมื่อมูลค่าซื้อขายมากกว่า 4 หมื่นล้านบาท/วัน

จะส่งผลให้มีผู้เล่นหน้าใหม่ (โบรกเกอร์ใหม่) เข้าสู่ตลาดมากมาย

นั่นแหละถือว่าเป็นความเสี่ยงในอุตสาหกรรมซื้อขายหุ้น

ว่าด้วยประสิทธิภาพการรักษาไว้ซื้อผลกำไร



เราขอจบนิทานเรื่องนี้ด้วยคำถามว่า “การทยอยเปิดเสรีในปี 2553-2554 นั้น

คนในวงการนี้ต้องการก่อให้เกิดต้นทุนในตัวเอง หรือจะสร้างมูลค่าให้ตัวเองหรือ

จะทำอย่างไร? อันนี้เป็นคำถามที่ต้องตอบตัวเอง และจะต้องได้คำตอบก่อนปี 2555 !!!!

Analysts bearish on firm and parent; project may be written off


PTT Exploration and Production has managed

to squelch the main fire at its Montara offshore

well in the Timor Sea and plugged the oil and gas leak,

but it may end up having to write off the entire

Bt20-billion project.


Avin Sony, an analyst at Asia Plus Securities,

is particularly bearish on PTTEP.


He wrote in a report on Monday called "Platform

Fire Burns Growth" that insurance might not

compensate for all of the damage from the fire

at the oil rig's platform.


"PTTEP has insurance coverage that allows for

US$75 million [Bt2.51 billion] for damage and

clean-up per occurrence, $50 million third-party

casualty and up to $143 million well-head plat- form

insurance if the plat-form is totally destroyed," he said.


"We believe the total cost for the incident, which is yet to

be ascertained, may exceed the insurance cover.


"Nonetheless, in the worst-case scenario, if PTTEP

is unable to control the oil spill for the next two months,

we believe it may have to write off the whole project.

Total write-off cost could mount up to $600 million to

$700 million [amounting to B6 per share]. This, in our view,

will remain a key overhang on the stock."


PTTEP's shares fell 5.11 per cent yesterday to close

at Bt130 on investors' concern over the company's

misfortune with its Australian subsidiary. Last month,

PTTEP hit a high of Bt164 with market capitalisation

reaching more than Bt400 billion.


PTT, the parent of PTTEP, also took a beating

yesterday. Its stock price fell 2.15 per cent to

Bt228, against a high of Bt277 last month.


Both stocks account for signi-ficant weighting of

the Stock Exchange of Thailand Index.


Brokers said foreign investors have been rushing

for the exit, dumping PTTEP by more than Bt10

billion so far. Yesterday, foreign selling continued

at Bt2.88 billion, reflecting fears PTTEP might

bleed money badly or be hit with environmental

lawsuits in its exploration in the Timor Sea.


"The problem is that PTTEP might not lose just

$600 million from its investment in the Australian

unit from the fire, which has blackened its credibility,

but it could lose more money if it had to take on

environmental lawsuits. Chevron faced lawsuits from

its oil spill amounting to $20 billion," an observer said.


A Bualuang Securities analyst said in the worst case,

PTTEP would shed Bt23 from its stock price as a result

of the loss from its Australian drilling unit. That would

cut its crude-oil sales 10 per cent to 253,000 barrels

per day next year, from an initial projection of 282,

000bpd. Its profit will decline 29 per cent this year

and 23 per cent next year.


"But we don't think PTTEP will abandon the Australian

operation, since it has about 32 million barrels in oil

reserves," the analyst said.


In a research note, Ayudhya Securities said if oil

production were delayed by 18 months to the third

quarter of 2011, PTTEP's net profit would decline

Bt37.28 billion, or 14 per cent, next year.


The securities house suspects the fire will also pressure

the company's fourth-quarter net profit this year,

because the company must book the cost of battling

the blaze and massive oil spill.


The brokerage said it was highly possible production

could be delayed, because PTTEP had to consider

whether damage to the well-head was too great for

production to resume.


If so, PTTEP may have to build a new well-head

platform to replace the damaged one, which would

take at least 18 months.

รวมทั้งสามารถยุติการรั่วไหลของน้ำมันและก๊าซธรรมชาติ โดยอยู่ภายใต้การสังเกตการณ์

อย่างใกล้ชิดทั้งนี้ ไม่มีผู้ได้รับบาดเจ็บหรือเสียชีวิตจากเหตุการณ์ที่เกิดขึ้น โดยบริษัทฯ

จะเข้าไปดำเนินการสำรวจ และประเมินความเสียหายต่อไป

Nov. 3 (Bloomberg) -- PTT Exploration & Production Pcl


is making a fourth attempt to plug a leaking oil well in the


Timor Sea and extinguish a blaze engulfing a drilling rig.





“The operation is still ongoing,” Roley Myers, a Perth- based


spokesman for PTTEP, said by phone. Myers said the


Bangkok-based company will likely give an update later today


on the operation to use specially prepared heavy mud to plug


the Montara well, which has been leaking oil for more than 10 weeks.





Thailand’s only publicly traded oil-explorer has estimated that


up to 400 barrels of oil a day has been seeping into waters off


the Australian coast. WWF-Australia has called the spill an


environmental disaster and has reported seeing dolphins, birds


and sea turtles swimming in the oil slick. PTTEP fell to the lowest


in three months in Bangkok trading.





The Thai company “is still using every effort to control and


minimize the impact of the fire incident,” Chief Executive


Officer Anon Sirisaengtaksin said in a statement to the


Thai stock exchange today. PTTEP has insurance cover


of about $270 million, he said.





PTTEP dropped as much as 4 percent to 131.5 baht, adding


to yesterday’s 5.5 percent slide. The stock traded at 133.5 baht


as of 12:30 p.m. lunch break.





Out of Control’




A fire erupted on Nov. 1 as the Bangkok-based company


pumped mud into the well to try to stem the flow. The blaze


at the West Atlas drilling rig was “out of control,” Jose Martins,


a director of the company’s Australian unit, said yesterday in


Perth. Losing the rig, which may collapse into the ocean, would


delay the start of extracting an estimated 35,600 barrels of oil


a day from the Montara field.




Australia’s Resources and Energy Minister Martin Ferguson told


reporters an investigation into the spill will take place after the


well is plugged and the fire is extinguished. PTTEP has engaged


“world-leading” companies to help in the effort, he said yesterday.




A daily flow of 300-400 barrels of oil since the leak started Aug. 21


would make the spill the third-biggest in the nation’s history, based


on figures from the Australian Maritime Safety Authority’s Web site.


The company has failed on prior three attempts to stem the flow.





Paying Costs




PTTEP has said it will pay the maritime safety authority’s costs


for cleaning up and controlling the spill. The company has set aside


A$177 million ($160 million) as provisions against costs for the leak.





The world’s largest population of humpback whales, about 22,000,


is found along the northwestern coast, according to a survey by whale


researchers Richard Costin and Annabelle Sandes.





Tourism Australia describes the region as “one of the world’s


last true wilderness areas.” Ashmore Reef, which supports sea


snakes, dugongs and marine turtle nesting sites, was feared in


reach of leaking oil in the spill’s early days.





Seadrill Ltd., the Norwegian oil-rig company that owns the


West Atlas, said yesterday that the drilling unit wouldn’t likely


be used again because it is severely damaged.





While the incident has created bad publicity for PTTEP,


the negative impact on the stock may be short-term because


the Montara field is relatively small compared with the


company’s overall production assets, Andrew Gillan, who helps


oversee about $41 billion in Asia for Aberdeen Asset Management Group


and holds the stock, said in Bangkok today.





Australia has rejected claims that oil from the spill has reached


Indonesia’s coastal waters, the Australian Associated Press said


in a story posted on the Sydney Morning Herald’s Web site today.





The Australian Embassy in Jakarta said only small patches of


non-hazardous “weathered oil” posing no significant threat to


the marine environment had been detected in Indonesia’s


exclusive economic zone, AAP said.





Indonesian conservationists say villagers and fishermen in the


country’s East Nusa Tengarra province have complained that


oil from the spill is affecting their health and killing fish, AAP reported.
